2024 SPARK Global Customer Roadshow Event Terms and Conditions

These are the terms and conditions (“the Terms”) which apply to all events and events managed, organized, or executed by SYSPRO Impact Software , Inc. (“SYSPRO”) and form an agreement between SYSPRO and the attendee. We will not file a copy of our agreement with you. These Terms are available in the English language only.

By reserving your 2024 SPARK Global Customer Roadshow registration, you accept these Terms. You should read them carefully before registering. We recommend you save a copy of them for future reference.

DEFINITIONS

These Terms apply to every person registering as an attendee (SYSPRO customers, partners, guests, sponsors and staff members) for the 2024 SPARK Event, to be held at the below locations:

Angus Glen Golf Club, Markham, ON, October 1, 2024;

Chicago Athletic Association Hotel, Chicago, IL, October 3, 2024;

San Diego Misson Bay Resort, October 15, 2024.

(hereafter referred to as “the Event”), organized by SYSPRO. Additional terms & Conditions may apply depending on the attendee type and are available to review if needed.

All references to a date or a deadline, mentioned in these Terms and on other Event documents, refer to Pacific Standard Time (PST).

EVENT REGISTRATION

Registration is available via the Official SYSPRO SPARK website. Only fully completed registration forms will be accepted. If the maximum attendee capacity is reached, SYSPRO reserves the right to refuse additional registrations.

Registration for attendees includes entry to the educational sessions, meals and evening cocktail Event.

All Event materials will be distributed onsite. SYSPRO cannot guarantee that an Event welcome bag and other Event materials will be available for late registrations.

Guests are not permitted to attend the SPARK Global Customer Roadshow. Attendance is permitted only for active SYSPRO customers, staff, partners, and sponsors.

Minors under 18 years old are not permitted to attend the Event or any Events associated with the Event. Parents/guardians of any minors agree to take full responsibility for them while at the Event site and the designated hotel sites.

REGISTRATION CONFIRMATION/RECEIPT

A registration confirmation/receipt will be sent by email after the online registration has been received. Attendees may be requested to present this registration confirmation/receipt at the registration counter as they arrive at the Event as proof of their registration and payment.  Personal ID may also be required.

METHODS OF PAYMENT

Admission to SPARK is free for all customer and partner attendees. SYSPRO is not liable for any additional charges for transportation or lodging for the SYSPRO Event, or non-attendance to the SYSPRO Event.

REGISTRATION MODIFICATIONS

Modifications can be made to a reservation by contacting the SYSPRO Marketing team at Americas-marketing@syspro.com. A new registration form for the substitute attendee should NOT be submitted. Name changes will be accepted by email indicating the old and new names including the required contact details until seven (7) business days before each Event. After this date, all name changes must be carried out on-site.

CANCELLATION POLICY

Notice of cancellation (e.g. in case of sickness, lack of funding, or any other personal reasons) must be made in writing by email to the SYSPRO Marketing Department. The cancellation will not be effective until a written acknowledgment from the attendee is received.

SYSPRO is not liable for any additional costs for transportation or lodging for unattended Events or early termination of attendance in case of incidents during the Event which is beyond the control of SYSPRO.

By registering for the 2024 SPARK Customer Roadshow Event, attendees agree that neither the organizing committee nor SYSPRO assumes any liability whatsoever. Attendees are requested to make their arrangements for health and travel insurance. The Event fee does not include health or travel insurance.

Hotel reservation cancellations and modifications are the sole responsibility of the attendees and should be handled directly with the hotel. SYSPRO is not responsible for any lodging and transportation modifications or charges should the attendee need to cancel or modify their registration.

HEALTH AND SAFETY

The health and safety of our attendees remains our top priority. Accordingly, all attendees of the Event shall adhere to the most current health and safety protocols published by the Centers for Disease Control and Prevention (“CDC”) with regard to transmissible infections, including without limitation, if mandated by any federal, state or county authority having competent jurisdiction, the wearing of face coverings and practicing social distancing measures during attendance at the Event. Each attendee has the responsibility of safeguarding its own materials or goods from the time they are placed at the Event, until they are removed. SYSPRO shall have no liability whatsoever for any attendees’ items that are damaged, lost or stolen during the Event.

EVENT FILMING AND PHOTOGRAPHY

Filming and photography may take place at all locations of the 2024 SPARK Customer Roadshow Event. By registering and attending, you consent to your image and likeness being used in SYSPRO marketing and promotional materials without compensation. Attendees waive the right to inspect or approve the finished product or products and the advertising copy or other matter that may be used in connection therewith or the use to which it may be applied.

CANCELLATION OF THE EVENT

If for some unforeseen reason the 2024 SPARK Customer Roadshow Event cannot be held or is postponed due to events beyond the control of SYSPRO (force majeure) or due to events that are not attributable to wrongful intent or gross negligence of SYSPRO, SYSPRO cannot be held liable by attendees for any damages, costs, or losses incurred, such as transportation costs, accommodation costs, costs for additional orders, financial losses and the like.

MODIFICATION OF THE PROGRAM AND AGENDA

SYSPRO reserves the right to modify the program and agenda at their discretion and at any time. No refunds will be granted in case of cancellation of speakers, lack of space in session rooms, or any other incidents during the Event which are beyond the control of SYSPRO.

DATA PROTECTION AND SHARING OF CONTACT DETAILS

The protection of your data and the observance of your right to information concerning the collection, processing and use of your data is important to SYSPRO.

SYSPRO will collect and store all personal data via the registration page for the preparation and execution of the 2024 SPARK Customer Roadshow Event.

SYSPRO periodically performs e-mailings to attendees on behalf of third parties regarding activities at the Event or other communications which may be of interest to attendees. Email contact details of attendees will not be passed on to third parties. Attendeess may opt out of these correspondences at any time. This will not affect official correspondence from SYSPRO.

LIABILITY

SYSPRO shall be held liable in the framework of a duty of care as a respectable businessman according to statutory provisions. The liability of SYSPRO – for whatever reason – shall be limited to intent and gross negligence. In any event, SYSPRO shall not be held liable for any indirect, special and/or consequential damages and/or losses that may be incurred by the attendee. The liability of commissioned service providers shall remain unaffected by this. The attendee shall take part in the Event at his/her own risk. Oral agreements shall not be binding unless these have been confirmed in writing by SYSPRO.

JURISDICTION AND GOVERNING LAW

These Terms shall be construed and governed in accordance with the laws of the state of California, without regards to conflicts of laws principles. Any action arising from these Terms, including without limitation, the interpretation or enforcement hereof, or any action otherwise arising from.

In the event of a dispute arising between the parties, such dispute shall be brought in the appropriate court in the County of Orange, State of California and each of SYSPRO and attendee hereby submit to such jurisdiction and venue. Each party hereby further waives any objection to such venue based on an assertion of forum non-conveniens or lack of jurisdiction.

CODE OF CONDUCT

SYSPRO is committed to creating an environment where everyone can participate without harassment, discrimination, or violence of any kind. All Event attendees must be treated with respect and consideration. Registration for the 2024 SPARK Customer Roadshow Event is considered an agreement to abide by this Code of Conduct.

Harassment of any participant (attendee, speaker, volunteer, staff member, service provider, organizer, Event guest, venue guest, or venue staff) will not be tolerated. Unacceptable behavior includes (but is not limited to) unwanted verbal attention, unwanted touching, intimidation, stalking, shaming, or bullying.

Discrimination based on gender or gender identity, sexual orientation, age, disability, physical appearance, race, religion, national origin, or ethnicity will not be tolerated. Harassment presented in a joking manner is still harassment and constitutes unacceptable behavior. Retaliation for reporting harassment is also unacceptable, as is reporting an incident in bad faith.

For the safety of all attendees, SYSPRO Events are ‘weapons free’ and all Event participants, including staff, volunteers, and attendees, are banned from possessing any object or substance intended to cause injury to others, including but not limited to firearms.

Any violation of this Code of Conduct will result in immediate termination of attendance and removal from the 2024 SPARK Customer Roadshow Event.
